Blue Circle is a software development company based in Enugu, Nigeria. We specialize in building high-performance websites, mobile applications, cloud infrastructure, AI-powered solutions, and providing technology consulting services to startups and growing businesses.

By accessing our website, contacting us, requesting a quote, or engaging our services, you agree to be bound by these Terms of Service. If you do not agree with any part of these Terms, please do not use our website or services. These Terms constitute a legally binding agreement between you (“Client”, “you”, or “your”) and Blue Circle (“we”, “us”, or “our”).

We provide web development, mobile app development, cloud & DevOps solutions, AI & data solutions, technology consulting, and related professional services.

• All services are delivered based on a clear project scope, timeline, and budget agreed upon in writing (via proposal, contract, or email confirmation).
• We strive to deliver high-quality, scalable, and secure solutions using modern technologies such as Next.js, React, Flutter, React Native, Node.js, Firebase, AWS, and others.
• Project deliverables, timelines, and responsibilities will be clearly outlined in the project agreement. Any changes to scope must be agreed upon in writing and may incur additional costs.

To ensure successful project delivery, you agree to:

• Provide accurate, complete, and timely information, content, assets, feedback, and approvals as required.
• Ensure you have the necessary rights or licenses for any materials (logos, images, text, etc.) you supply to us.
• Respond to communications and review requests promptly to avoid project delays.
• Make payments according to the agreed schedule.
• Use the delivered solutions only for lawful purposes and in compliance with applicable laws.

Delays caused by late or incomplete client input may result in timeline adjustments and additional costs.

• All project engagements are governed by a formal proposal or contract.
• The proposal outlines scope, deliverables, timeline, pricing, and payment terms.
• Once signed or confirmed in writing, the proposal becomes a binding agreement.
• We reserve the right to decline any project or client at our sole discretion.

• Pricing is quoted in Nigerian Naira (₦) or US Dollars (USD), as agreed.
• A deposit (usually 40-50%) is required to commence work, with the balance paid in agreed milestones or upon completion.
• All payments are non-refundable except as explicitly stated in the project agreement.
• Late payments may attract interest and may result in suspension of work.
• We issue invoices and receipts for all payments received.

• Our Pre-existing Work: We retain ownership of all pre-existing tools, frameworks, libraries, and methodologies.
• Project Deliverables: Upon full and final payment, we grant you a perpetual, non-exclusive, royalty-free license to use the custom deliverables for their intended purpose.
• Source Code: Full source code is transferred to you upon project completion and final payment, unless otherwise agreed.
• Third-Party Assets: Any third-party tools, plugins, fonts, or assets included in the project remain subject to their respective licenses.

You may not resell, redistribute, or reuse our code, designs, or deliverables for other projects without explicit written permission.

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives the termination of the agreement.

• We warrant that the deliverables will substantially conform to the agreed specifications for a period of 30 days after launch (the “Warranty Period”), unless otherwise stated.
• During the Warranty Period, we will fix bugs or issues arising from our development at no extra cost.
• Support and maintenance beyond the Warranty Period are provided under a separate agreement or on a time-and-materials basis.
• We do not warrant that the website or app will be completely error-free or uninterrupted.

To the maximum extent permitted by law:

• Blue Circle shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• Our total liability shall not exceed the total amount paid by you for the specific project giving rise to the claim.
• We are not liable for issues arising from your misuse, modification by third parties, hosting environment issues, or third-party services.

• Either party may terminate the agreement for material breach with written notice.
• Upon termination, you remain responsible for all fees for work completed up to the termination date.
• We may suspend or terminate access to our website or services for violation of these Terms.

You agree not to:

• Use our website or services for any unlawful purpose.
• Attempt to gain unauthorized access to our systems.
• Introduce viruses, malware, or harmful code.
• Scrape, copy, or reproduce substantial parts of our website content without permission.

We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of our services after changes constitutes acceptance of the new Terms.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes shall be subject to the exclusive jurisdiction of the courts in Enugu, Nigeria.
