Terms of Service

Welcome to Blue Circle. These Terms of Service (”Terms“) are a legally binding agreement between you and Blue Circle regarding your access to and use of our website, platform, and related services. By accessing, browsing, or otherwise using our website and services, you acknowledge that you have read, understood, and agree to comply with these Terms, as well as our Privacy Policy and any additional guidelines or rules that may apply.

1. Services

Before any work begins, the specific scope, deliverables, and timelines of a service will be clearly outlined in a formal proposal or project agreement. This ensures that both parties have a shared understanding of expectations, responsibilities, and intended outcomes. Any additional services requested outside the agreed scope may require a separate agreement or amendment to the existing contract.

We are committed to providing high-quality, reliable, and innovative solutions. However, the nature of technology projects means that some aspects may evolve during the course of development. In such cases, we will maintain transparent communication with you to ensure that adjustments are properly documented and agreed upon before implementation.

2. Payments

Payments for our services are due as outlined in your proposal, agreement, or invoice. Unless otherwise specified in writing, all invoices are payable upon receipt. Timely payments help us allocate resources effectively and keep your project on schedule.

If a payment is delayed or not received within the agreed timeframe, we reserve the right to pause or suspend ongoing work until the outstanding balance is settled. Continued delays in payment may result in the permanent suspension of services and, in some cases, termination of the agreement.

Unless explicitly stated otherwise in your project agreement, all fees are considered non-refundable. This policy ensures fairness and covers the time, effort, and resources already dedicated to your project. If your project includes milestone-based billing, payment is required for each milestone before work can proceed to the next phase.

For subscription-based or ongoing services, payments are typically charged on a recurring basis (monthly, quarterly, or annually, as agreed). You are responsible for ensuring that your billing information is accurate and up-to-date to avoid disruptions in service.

3. Ownership

Upon completion of the project and receipt of full payment, ownership of the final deliverables—including but not limited to websites, mobile applications, software code, designs, and related assets—will be transferred to you. This means you will have full rights to use, modify, and distribute the deliverables for your business or personal purposes without further obligation to us.

Please note that ownership applies only to the final deliverables as agreed upon in the project scope. Drafts, preliminary designs, source files, proprietary tools, and development frameworks used in the creation of the project remain the intellectual property of Blue Circle, unless otherwise specified in writing. Open-source libraries or third-party assets included in your project will remain subject to their respective licenses.

By working with us, you grant Blue Circle a limited, non-exclusive right to showcase the final deliverables in our portfolio, website, promotional materials, and case studies. This helps us demonstrate the quality of our work to prospective clients. If you prefer not to have your project displayed publicly, you may request an exception in writing.

4. Client Responsibilities

To ensure the success of each project, clients agree to actively participate in the development process by providing accurate information, content, feedback, and any required materials in a timely manner. This includes, but is not limited to, text, images, branding assets, access credentials, and other resources necessary to complete the project as outlined in the proposal.

Clients are also responsible for reviewing deliverables and providing feedback within the agreed-upon timeframes. Delays in approvals, feedback, or submission of required content may extend the project timeline and could affect the overall delivery schedule. Blue Circle will not be held liable for missed deadlines caused by client delays.

Additionally, clients warrant that any materials provided (such as logos, images, or written content) are either owned by them or that they have the legal rights and permissions to use such materials. Clients agree to indemnify and hold Blue Circle harmless against any claims or legal issues arising from the use of client-provided materials.

5. Limitation of Liability

While Blue Circle is committed to delivering high-quality and professional services, we cannot guarantee that all deliverables will be completely free of errors, bugs, or interruptions. Websites, mobile applications, and digital solutions inherently rely on third-party tools, platforms, and technologies, and as such, continuous or flawless performance cannot be assured.

To the fullest extent permitted by law, Blue Circle shall not be held liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our services. This includes, but is not limited to, losses related to revenue, profits, data, goodwill, or business opportunities.

Furthermore, Blue Circle is not responsible for downtime, service interruptions, or damages caused by third-party service providers, hosting platforms, software updates, cyberattacks, or client misuse of the deliverables. Our liability in any case shall not exceed the total fees paid by the client for the specific project in question.

6. Termination

Either party may terminate the agreement or project by providing written notice. Termination may occur for reasons including, but not limited to the following:

  • Non-payment
  • Breach of these Terms
  • Failure to provide necessary materials
  • Or unforeseen circumstances that prevent the continuation of work.

In the event of termination, clients are responsible for payment of all work completed and expenses incurred up to the date of termination, as outlined in the agreed proposal or invoice. Any deposits or partial payments already made are non-refundable and will be applied toward the completed portion of the work.

Upon termination, Blue Circle will deliver any partially completed work or files that have been paid for in full. However, ownership of unfinished deliverables, drafts, or concepts remains with us unless full project payment is received.

Termination of a project does not relieve either party of obligations intended to survive termination, such as confidentiality, payment of fees, and ownership rights of completed deliverables.

7. Updates to Terms

Blue Circle reserves the right to update, revise, or modify these Terms of Service at any time to reflect changes in our practices, services, or applicable laws and regulations. Any such updates will take effect immediately upon being posted on this page, unless otherwise stated.

The “Effective Date” at the top of this page will always indicate the most recent version of this terms. We encourage clients and users to review these Terms periodically to stay informed about their rights and responsibilities. Continued use of our services after the posting of updated Terms constitutes acceptance of the revised version.

If a significant change is made that may materially affect your rights or obligations, we will make reasonable efforts to notify you in advance, such as via email or through a prominent notice on our website.
